The following is a non-binding English summary of the Dutch Algemene Voorwaarden. In any conflict, the Dutch text prevails.
Scope & agreement
These terms apply to all offers, quotations, and agreements between Ridgeform and the client. Quotations are valid for 14 days unless stated otherwise. The client's own purchasing terms are explicitly rejected (Dutch Civil Code art. 6:225 lid 3).
Pricing & payment
Prices are exempt from VAT under the Dutch Small Business Scheme (KOR, art. 25 Wet OB 1968). Website builds are paid in full before going live. Hosting invoices are due within 14 days. Late payment incurs statutory interest (art. 6:119a BW) plus collection costs (BIK).
Delivery & acceptance
Ridgeform delivers to the best of its ability (inspanningsverbintenis). The client has 14 days to inspect. Silent acceptance applies after this window per art. 7:758 lid 1 BW. A 30-day aftercare period covers minor issues.
Intellectual property
IP rights remain with Ridgeform until full payment is received. Upon full payment, IP transfers to the client via separate written deed (art. 2 lid 3 Auteurswet). Until then the client receives a usage licence subject to the suspensive condition of full payment. Open source components retain their original licences.
Hosting & maintenance
Hosting is a separate monthly agreement: hosting, SSL, backups, security updates, and 30 minutes of small changes per month included. Beyond 30 minutes: €50/hour. Cancellable monthly with one calendar month notice. On termination Ridgeform delivers full source code, database export, DNS records, and credentials.
Liability
Ridgeform's total liability is limited to the amount paid out under its professional liability insurance, or — if no payout — the invoice value of the engagement (max. last 3 monthly invoices for hosting). Indirect damages (lost profits, business stagnation, data loss, third-party damage) are excluded.
Force majeure, governing law
Force majeure follows art. 6:75 BW. Dutch law applies. Disputes go to the Rechtbank Midden-Nederland, locatie Utrecht, after attempted consultation.
